Promoter / Referral Program Terms

These Promoter Program Terms ("Promoter Terms") govern your participation as a Promoter in the Finasto Coffee referral program (the "Program"), operated by Finasto ("Finasto", "we", "us", "our").

These Promoter Terms are in addition to the Terms of Service and the Privacy Policy. If there is a conflict on Program matters, these Promoter Terms control.

1. What the Program Is (and Is Not)

The Program is a simple affiliate referral arrangement. As an approved Promoter you receive a personal referral code/link. When a new customer signs up using your code and places qualifying orders, you may earn a commission on those orders, which you can request to withdraw.

The Program is NOT:

• A job, employment, partnership, franchise, agency or joint venture.
• A multi-level marketing (MLM), network-marketing or "downline" scheme — you earn only on orders by customers you personally referred, never on the activity of other promoters or on recruiting other promoters.
• An investment, security, savings or income-guarantee product.
• A business opportunity that requires you to buy inventory or pay a joining fee.

There is no fee to join and no purchase required to become or remain a Promoter.

2. Eligibility

• You must be at least 18 years old and have a valid Finasto Coffee customer account in good standing.
• You must provide accurate personal and payout information.
• You must comply with all applicable laws, including advertising, consumer-protection, anti-spam, data-protection and tax laws in your location.
• We may approve or reject any application at our sole discretion, and we may require identity or tax information before approving you or paying you.
• Employees, contractors and immediate family members of Finasto may be excluded or subject to additional rules.

3. Approval and Your Referral Code

• You become a Promoter only when we approve your application in the App.
• Your referral code is personal to you. You must not let others use it as their own, and you must not operate multiple Promoter accounts.
• We may change or reset referral codes for technical or security reasons.

4. How Commissions Are Earned

4.1 Qualifying Referral

A referral qualifies only if the new customer:

1. Is a genuine, new person (not you, not an existing account, not a fake or duplicate account);
2. Registers using your referral code/link at sign-up; and
3. Places one or more orders that reach "Completed" status and are fully paid and not refunded or charged back.

4.2 Commission Calculation

• Commission is calculated as a percentage of the qualifying order value, at the effective rate we set. The base rate and any tier-based rates are shown in the App and may be changed by us at any time with effect for future orders.
• "Tiers" in the App adjust your own commission percentage based on your total referred sales and number of referrals. They do not create earnings from other promoters.
• Commission is credited to your Program balance only after the relevant order is completed and payment is confirmed.

4.3 Adjustments and Clawback

We may withhold, reverse, reduce or claw back commission if:

• The underlying order is cancelled, refunded, disputed or charged back.
• The referral or order is fraudulent, incentivised improperly, self-referred, or otherwise breaches these Promoter Terms.
• The commission was credited in error.
• The customer requests a refund after payout (the amount may be deducted from your future balance or invoiced to you).

5. Withdrawals and Payouts

• You may request a withdrawal of your available Program balance through the App once it meets the minimum withdrawal amount we set.
• You must provide correct payout details (e.g. bank name and account number). You are solely responsible for the accuracy of these details. We are not liable for funds sent to an incorrect account you provided.
• Withdrawal requests are reviewed by us and, if approved, paid within 7–14 business days. We may reject or delay a request to complete fraud, identity or tax checks.
• We may set a maximum payout per period and may suspend payouts during investigations.
• Balances and pending commissions have no value if your participation is terminated for breach or fraud.

6. Taxes

Any commission you receive is your income. You are solely responsible for determining, reporting and paying all taxes, contributions and levies that apply to your earnings in your jurisdiction. We may withhold amounts or require tax documentation where the law requires. We are not your tax adviser.

7. Promoter Conduct — What You Must and Must Not Do

You must:

• Clearly and truthfully describe Finasto Coffee and its products and prices.
• Disclose that you receive a commission when you promote the Program (e.g. "#ad", "referral link", or as required by local advertising rules).
• Only promote through channels and audiences you are permitted to use.

You must not:

• Send spam or unsolicited bulk messages.
• Make false, misleading or exaggerated claims about products, prices, earnings, health benefits, or the Program.
• Describe the Program as a job, investment, guaranteed income, or "get rich" opportunity.
• Use the "Finasto" name or logo except as we permit, register domain names, social accounts, or app listings using our brand, or bid on our trademarks in paid search without written permission.
• Offer unauthorised cashback, rebates or incentives to referred customers in a way that manipulates the Program.
• Self-refer, create fake customer accounts, or collude with others to generate commissions.
• Promote on sites or in contexts that are illegal, adult, hateful, violent, or that target people under 18.
• Collect, store or misuse the personal data of people you refer, or act as if you represent Finasto.

Breaching this section may result in forfeiture of your balance and removal from the Program, in addition to any legal remedies we have.

8. Relationship of the Parties

You are an independent participant, not our employee, agent, partner or representative. You have no authority to bind Finasto, make promises on our behalf, enter contracts, handle customer payments, or hold yourself out as Finasto staff. You are responsible for your own costs of participating.

9. Program Changes, Suspension and Termination

• We may modify, suspend or end the Program, or change commission rates, tiers, minimums and rules, at any time. Where reasonable we will give notice in the App or by email.
• Either party may end your participation at any time. You may leave by contacting support@finasto.net or deleting your account.
• We may suspend or terminate your participation immediately, and withhold or cancel unpaid amounts, if we reasonably believe you have breached these Promoter Terms, engaged in fraud or abuse, or brought Finasto into disrepute.
• On termination: your referral code stops working; commissions on orders not yet completed are forfeited; a legitimately earned, verified and payable balance above the minimum will be paid, subject to fraud and tax checks.

10. Confidentiality

Non-public information we share with you about the Program (rates, roadmaps, analytics, customer data) is confidential and must be used only to participate in the Program.

11. Disclaimers and Limitation of Liability

• No earnings guarantee. Any figures or examples are illustrative only. Most promoters earn little or nothing. Your results depend on your own efforts and factors outside our control.
• The Program and its tracking are provided "as is". We do not warrant that referral tracking, attribution or reporting will be error-free, and we are not liable for lost commissions caused by customer behaviour (e.g. not entering the code), ad-blockers, device settings, technical faults, or third-party services.
• To the maximum extent permitted by law, our total liability to you under the Program is limited to the total commissions actually paid to you in the 6 months before the event giving rise to the claim .
• We are not liable for indirect, incidental or consequential losses.

12. Indemnity

You will indemnify and hold harmless Finasto and its officers, employees and agents from any claim, penalty, loss or expense (including reasonable legal fees) arising from your promotional activities, your breach of these Promoter Terms, or your violation of any law or third-party right (including advertising, spam, privacy and consumer-protection laws).

13. Governing Law and Disputes

These Promoter Terms are governed by the laws of Sindh, Pakistan. The courts of Karachi, Pakistan have exclusive jurisdiction.

14. General

• If any provision is unenforceable, the remainder stays in effect.
• We may assign these Promoter Terms to an affiliate or successor; you may not assign them.
• These Promoter Terms, together with the Terms of Service and Privacy Policy, are the entire agreement between you and us regarding the Program.
